1. Introduction

These Terms & Conditions ("Terms") govern your use of payment services provided by SAI NGO & BUSINESS CONSULTANCY ("we", "us", "Company"). By using our payment gateway or related payment processing services via ngotrust.in you agree to these Terms. If you do not agree, please do not use our payment services.

2. Definitions

  • Client / Merchant: any individual, organisation or entity using our payment gateway to accept, send or manage payments.
  • User: an end-customer who makes a payment through our payment gateway.
  • Services: payment gateway, transaction routing, settlement, refunds and related features offered by us.

3. Scope of Services

We provide a payment gateway that enables electronic acceptance of payments (cards, UPI, netbanking, wallets where available) for goods and services. We do not guarantee availability for every payment method in every geography — supported methods depend on third-party integrations and banking partners.

4. Onboarding and KYC

Merchants must complete identity verification (KYC) and provide accurate business information as requested. Failure to provide required documents or supplying false information may lead to account suspension or termination.

5. Transaction Processing, Settlement & Fees

  • We process transactions on behalf of merchants and route funds to merchant accounts after applicable holds, chargebacks and fees.
  • Fees, commissions, settlement timelines and minimum payout thresholds will be set out in your merchant agreement or pricing schedule. By using the Services you agree to pay those fees.
  • We may withhold settlement amounts for risk review, regulatory compliance, chargeback reserves or suspected fraud.

6. Refunds, Chargebacks and Disputes

Refund policies are primarily those of the merchant. When a refund or chargeback is initiated, we will follow the procedures required by card networks, banks and applicable law. Chargebacks may result in reversals of funds, fees and penalties assessed to the merchant.

7. Security & Compliance

We implement industry-standard technical and organisational measures to protect payment data. Merchants must also follow security best practices. Sensitive payment data is handled according to applicable regulations and payment network rules. Despite safeguards, no system is 100% secure — we are not liable for unauthorised access caused by a merchant's failure to follow security practices or by third-party breaches.

8. Merchant & User Responsibilities

  • Merchants must ensure full legal authority to accept payments and must not use Services for illegal activities.
  • Merchants must present clear product/service descriptions, pricing and refund policies to users.
  • Users must provide truthful payment information and are responsible for maintaining confidentiality of any account details with the merchant.

9. Privacy

We process personal data to provide payment services. Our Privacy Policy explains what we collect, how we use it and your rights. By using the Services you consent to the collection and processing described in that policy.

10. Intellectual Property

All intellectual property rights in the Services and related materials are owned by us or our licensors. Merchants are granted a limited, non-exclusive license to use our Services to accept payments under these Terms.

11. Limitation of Liability

To the maximum extent permitted by law, our liability for any claim arising out of or in connection with these Terms is limited to amounts actually paid to the merchant by us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential or punitive damages.

12. Indemnification

Merchants agree to indemnify and hold us harmless from claims, liabilities, damages and expenses (including reasonable legal fees) arising from merchant's violation of these Terms, misuse of the Services, or violation of law.

13. Suspension & Termination

We may suspend or terminate Services immediately if we suspect fraud, illegal activity, regulatory non-compliance or breach of these Terms. Termination does not relieve parties of obligations that arose prior to termination (fees, chargebacks, indemnities).

14. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated by posting an updated version on ngotrust.in with a new "Last updated" date. Continued use of the Services after changes indicates acceptance.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of competent courts in Ranchi, unless otherwise agreed in writing.
